Thai Limited Company Registration

Thai Limited Company is the most common form of business entity type for foreign business or individual to conduct business activities in Thailand. This structure requires that the company have a Thai majority shareholder and a Thai director. Thai majority owned companies are are to purchase Thai land, properties and is allowed to perform all types of businesses in Thailand. 

In order to set up a Thai Limited Company, we will need to have at least three (3) shareholders, and one (1) director to register the company. One of the shareholder, who must be a Thai, must holds 51% of the shares while foreign shareholder can hold up to 49%.

The Board of Investment (BOI) is Thailand’s principal government organization encouraging foreign entities or individuals to establish their presence in Thailand. Examples of incentives are major tax waivers, reduction of import duties on machinery and raw materials, easing of foreign equity restrictions and increased land ownership opportunities.

FBL Company Registration

A Foreign Business License (FBL) in Thailand can be awarded to a Foreign business with 100% ownership of the Thai company. However, not all company types can be registered under the FBL category. Even if the company type qualifies for FBL application, the application process is often time-consuming and the outcome may be unpredictable.

Generally, we would not recommend to apply for a FBL company type in Thailand except for large foreign multinational companies investing large sums of capital and creating numerous jobs for Thai citizens.
